This agreement is between [filled in at booking] (the "Lender/Seller"), [filled in at booking] ([filled in at booking], the "Borrower"/"Buyer"), and is facilitated by My Closet LLC (forming) ("My Closet", the "Platform"). My Closet is a marketplace that connects the parties, processes payments and holds deposits as agent; it is not a party to the rental or sale, does not own the item, and does not insure it.
[filled in at booking] · Brand: [filled in at booking] · Size: [filled in at booking] · Listed condition: [filled in at booking] · Agreed replacement value: [filled in at booking].
From [filled in at booking] to [filled in at booking] ([filled in at booking] days). Rental [filled in at booking] + cleaning [filled in at booking] + service fee [filled in at booking] = [filled in at booking] charged to the Borrower's card when the Lender accepts. Handoff method: [filled in at booking].
The Borrower chose: [filled in at booking]. A deposit is a temporary card authorization hold, not a payment; it is released within 7 days of a clean, on-time return. Damage Protection is an optional fee paid to the Platform that waives the Borrower's liability for accidental damage up to the replacement value. It never covers loss, theft, non-return, late fees, deliberate or reckless damage, pet damage, smoke, or alterations.
From handover until the Lender confirms return, the Borrower is solely responsible for the item. The Borrower agrees to: return it by [filled in at booking] in the condition received (normal wear excepted); not alter, wash with heat, dry-clean without permission, lend to others, or wear in conditions likely to damage it; and pay for loss, theft, non-return or damage up to the replacement value of [filled in at booking], less any Damage Protection waiver. Replacement value is the parties' good-faith agreed value of the item as listed and is not a penalty.
There is a [filled in at booking]-hour grace period after the end date. After that, a late fee of [filled in at booking] per day applies, representing the Lender's lost rental income and the Platform's handling cost, capped at [filled in at booking]. An item not returned within 10 days after the end date is treated as lost and the replacement value becomes due. Where permitted, the Lender may also report a non-returned item as theft.
The Borrower authorizes My Closet to charge the payment method on file for the rental total, any extension, late fees, and loss/damage charges determined under this agreement, including by capturing the deposit hold and, if the hold is insufficient or expired, by charging the saved card off-session. The Borrower will receive an itemized notice and has 48 hours to dispute through the Platform before a damage charge is final.
Both parties should photograph the item at handover and at return inside the app. Those timestamped photos are the record of condition. Disputes are reviewed by My Closet within 5 business days; its determination of damage charges up to the replacement value is final between the parties, without prejudice to either party's rights under applicable law.
The Buyer purchases the item for [filled in at booking] (total charged [filled in at booking]). The sale is final once the Buyer confirms receipt, unless the item materially differs from the listing, in which case the Buyer must open a dispute within 48 hours of delivery. Title and risk pass to the Buyer at handover. Handoff method: [filled in at booking].
The Seller represents that they own the item, that it is authentic, and that the listing describes its condition honestly. Counterfeit items are prohibited and refunded in full.
My Closet provides the marketplace, payment processing, messaging and dispute handling. The Lender/Seller is not liable for the Borrower's use of the item. To the fullest extent permitted by law, My Closet's liability to either party is limited to the fees it received for this transaction. The parties agree to indemnify My Closet for claims arising from their own breach of this agreement or the Terms of Service.
By typing their full name and checking the boxes, the Borrower/Buyer signs this agreement electronically under the U.S. ESIGN Act and the California Uniform Electronic Transactions Act, consents to do business electronically, and acknowledges receiving a copy in their account. The Lender/Seller accepted these terms when listing the item. Governing law: California; venue: San Diego County; small-claims court is always available for amounts within its limits.
